• "Theme" refers to any Shopify theme sold on buildcleanslate.com, including Clean Slate Starter and Clean Slate (Premium).
• "License" refers to the right to use a Theme on a single Shopify store.
• "Customer" or "You" refers to any individual or entity that purchases or uses our products.
• "Store" refers to a single Shopify store identified by its unique myshopify.com URL.

2. License Grant

Upon successful purchase and payment, we grant you a limited, non-exclusive, non-transferable license to use the Theme subject to the following terms:

2.1 Single Store License

• Each license permits installation and use on one (1) Shopify store only
• The license is tied to the Shopify store URL provided at the time of activation
• Using the same license on multiple stores is strictly prohibited and will result in license revocation

2.2 License Ownership

• The license is granted to the individual or entity that made the purchase
• Licenses are non-transferable and may not be sold, gifted, leased, or assigned to any other individual, company, or entity
• If you sell your Shopify store, the Theme license does not transfer to the new owner—they must purchase their own license

2.3 Agencies, Freelancers & Developers

If you are an agency, freelancer, or developer building a store for a client:

• The Theme license must be purchased by or registered to the store owner (your client)
• You may not use a single license to build multiple client stores
• Each client store requires its own separate license
• You are responsible for ensuring your client understands and agrees to these Terms

3. Permitted Use

You MAY:

• Install and use the Theme on one (1) authorized Shopify store
• Customize and modify the Theme code for your own store's use
• Use the Theme for commercial purposes on your authorized store

4. Prohibited Use

You MAY NOT:

• Install or use the Theme on more than one Shopify store per license
• Resell, redistribute, sublicense, or share the Theme files with any third party
• Upload the Theme to any marketplace, repository, file-sharing service, or distribution platform
• Share your account credentials, license key, or download links with others
• Remove, alter, or obscure any copyright notices, branding, or proprietary markings
• Claim ownership or authorship of the Theme or any portion thereof
• Use the Theme for any unlawful purpose or in violation of any applicable laws
• Reverse engineer, decompile, or attempt to extract the source code for purposes of redistribution
• Create derivative works based on the Theme for distribution or resale
• Use the Theme in any way that competes with Clean Slate's business

5. Code Modifications

You are permitted to modify the Theme code to customize it for your own store. However:

• All modifications are made at your own risk
• We are not responsible for any issues, errors, or damages resulting from your modifications
• Modified themes may not be eligible for support if the modifications caused the issue
• Our support team may require you to revert to the original code for troubleshooting purposes
• Modifications do not grant you any ownership rights over the original Theme code

6. Support

6.3 Support Does NOT Include

• Customization or modification services (available via "Hire Us")
• Support for issues caused by third-party apps, custom code, or modifications
• Support for stores not registered to a valid license
• Training on Shopify or general e-commerce practices

6.4 After Support Period (Starter)

After your 1-year support period ends:

• You may continue using the Theme indefinitely
• You may contact us—we'll assist at our discretion depending on the matter
• Custom work and extended assistance is available through our "Hire Us" service

7. License Verification & Protection

7.1 License Verification

We use a license management system to verify purchases and prevent unauthorized use. By purchasing our Theme, you agree to:

• Provide accurate Shopify store information for license activation
• Allow our system to verify your license periodically

7.2 License Revocation

We reserve the right to revoke your license immediately and without refund if you:

• Violate any of these Terms
• Use the Theme on unauthorized stores
• Share, distribute, or resell the Theme files
• Engage in fraudulent activity
• Provide false information during purchase or activation

7.3 Effect of Revocation

Upon license revocation:

• Your license will be deactivated
• The Theme may cease to function properly on your store
• You will lose access to support, updates, and our private Discord community
• No refund will be issued

8. Intellectual Property

8.1 Ownership

The Theme, including all code, design, graphics, documentation, and associated materials, is the intellectual property of Clean Slate and is protected by copyright and other intellectual property laws.

8.2 No Ownership Transfer

Your purchase grants you a license to use the Theme. It does not transfer any ownership, copyright, or intellectual property rights to you.

8.3 Feedback

Any feedback, suggestions, or ideas you provide regarding our products may be used by us without any obligation to compensate you.

9. Disclaimer of Warranties

9.1 "As-Is" Provision

THE THEME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2 No Guarantee

We do not warrant that:

• The Theme will meet your specific requirements
• The Theme will be uninterrupted, error-free, or bug-free
• Any defects will be corrected within a specific timeframe
• The Theme will be compatible with all Shopify features, apps, or third-party services

9.3 Acknowledgment of Risk

By purchasing the Theme, you acknowledge and accept that:

• Software may contain bugs, errors, or defects
• You are purchasing the Theme at your own risk
• You have reviewed the demos and documentation before purchase
• You understand the limitations of digital products

We are committed to improving our products and addressing reported issues, but we cannot guarantee a completely bug-free experience.

10. Limitation of Liability

10.1 No Liability for Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEAN SLATE SHALL NOT BE LIABLE FOR ANY:

• Direct, indirect, incidental, special, or consequential damages
• Loss of profits, revenue, sales, or business
• Loss of data or business interruption
• Damages resulting from the use or inability to use the Theme
• Damages resulting from bugs, errors, or defects in the Theme
• Damages resulting from unauthorized access or alterations to your store
• Damages arising from third-party apps or services

10.2 Maximum Liability

In no event shall our total liability exceed the amount you paid for the Theme.

10.3 Acknowledgment

You acknowledge that this limitation of liability is reasonable given the nature of digital products and the price of the Theme.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clean Slate and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Theme
• Your violation of these Terms
• Your violation of any third-party rights
• Any modifications you make to the Theme

13. Updates & Changes
