Terms of service

These Terms of Service ("Terms") govern your access to and use of buildcleanslate.com (the "Site") and your purchase of any digital products or services from Build Clean Slate ("Build Clean Slate," "we," "us," or "our"), a sole proprietorship based in New York, United States. By using the Site or purchasing from us, you agree to these Terms. If you do not agree, do not use the Site or buy our products.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase from us. By placing an order, you confirm that the information you provide is accurate and that you are authorized to use the payment method used.

2. What we offer

• Digital products ("Themes"): Shopify themes and related digital assets delivered electronically, each provided with a license key.
• Services: done-for-you work such as theme installation, full store setup, custom design, and asset creation ("Services").

3. Orders, pricing, and payment

All prices are listed in U.S. dollars and may exclude applicable taxes, which are added at checkout where required. Payment is processed securely through Shopify and its payment partners at the time of purchase. We may correct pricing errors, refuse or cancel an order, or limit quantities at our discretion. Your order is confirmed only once payment is successfully processed.

4. Theme license

License grant

When you purchase a Theme and complete payment, we grant you a limited, non-exclusive, non-transferable, single-store license to use that Theme, subject to these Terms. The Theme is licensed, not sold.

Scope — one license, one store

Each license is valid for one (1) live store/domain that you own. You may also install the same Theme on a development, staging, or preview environment used solely to build that same store. Each additional store requires a separate license.

What you may do

• Install and use the Theme on your licensed store.
• Modify or customize the Theme's code for use on your licensed store.
• Receive the license key associated with your purchase, which you must keep confidential.

What you may not do

• Resell, redistribute, sublicense, lease, lend, share, give away, or otherwise make the Theme or its source code available to any third party.
• Use a single license on more than one store, or on stores you do not own (for example, clients' stores), without purchasing a separate license for each.
• Include the Theme (in whole or in part) in any product, template, or theme that you sell or distribute.
• Remove or alter any proprietary notices, or claim authorship of the Theme.
• Share, publish, or attempt to circumvent or duplicate your license key.

License keys

We issue a license key tied to your order and email. We may verify license keys to confirm valid use. Sharing, reselling, or misusing a license key — or using a Theme without a valid license — may result in suspension or revocation of your license without refund.

Updates, maintenance, and bug reports

Our Themes are actively maintained. We regularly release updates, bug fixes, and improvements, and we are continually working to make our products better. Updates are currently provided at no additional cost, though we do not guarantee that updates will continue indefinitely or that a Theme will remain compatible with future changes to Shopify or other third-party platforms.

No software is completely free of bugs, and issues can also arise from third-party apps, custom code changes, or platform updates outside our control. If you encounter a bug or something isn't working as expected, please contact us at support@buildcleanslate.com before leaving negative feedback or opening a payment dispute — we want the chance to help, and most issues are resolved quickly. We will make reasonable efforts to investigate and address reported issues with a Theme's own functionality, but we cannot guarantee that every issue will be resolved or fixed within a specific timeframe.

5. Services

Scope

The work we perform is limited to the specific Service you purchase and the details agreed in your order or inquiry. Work outside that scope ("out-of-scope work") may require an additional purchase or quote before we proceed.

Your responsibilities

To deliver Services, we rely on you to provide, promptly and accurately: your order confirmation, the content we need (text, images, product information, brand assets), and any required store access (such as a Shopify collaborator request code). You confirm that you own or have the rights to all content and materials you give us. We never need your account password and ask that you do not share it.

Revisions and timelines

Each Service includes the number of revision rounds stated for that Service; additional revisions may be billed separately. Any delivery timeframes are good-faith estimates, not guarantees, and depend on the scope of work and how quickly you provide content, access, and feedback. Delays on your side extend the timeline accordingly.

Completion

We will deliver the work for your review. Work is considered accepted once delivered and any included revision rounds are completed or the agreed review period passes. We are not responsible for third-party apps you install, the legality of content you supply, your store's ongoing performance, or any specific business outcome (such as increased traffic or sales).

6. Refunds

Because our products are digital and delivered instantly, all digital product sales are final and non-refundable. Refunds or cancellations for Services, where available, are governed by our Refund Policy. Please review our Refund Policy before purchasing.

7. Intellectual property

The Site, the Themes, and all related code, designs, text, graphics, and other materials are owned by Build Clean Slate or our licensors and are protected by intellectual property laws. Except for the limited license expressly granted in these Terms, no rights are transferred to you. All rights not expressly granted are reserved.

8. Acceptable use

You agree not to misuse the Site or our products, including by: violating any law; infringing others' rights; attempting to gain unauthorized access to our systems, license infrastructure, or other users' data; introducing malware; scraping or copying the Site or Themes except as permitted; or interfering with the Site's operation.

9. Third-party platforms and services

Our Site runs on Shopify, and our products are designed to work with Shopify and may interact with third-party apps and services. We do not control those platforms and are not responsible for their availability, changes, policies, or performance. Your use of them is subject to their own terms.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Site, Themes, and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or products will be uninterrupted, error-free, secure, or that they will meet your requirements or produce any particular result.

11. Limitation of liability

To the fullest extent permitted by law, Build Clean Slate will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, Themes, or Services. Our total liability for any claim relating to these Terms or your purchase will not exceed the amount you paid to us for the product or service giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Build Clean Slate from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of our products or Services, the content or materials you provide to us, or your breach of these Terms or any law or third-party right.

13. Chargebacks and termination

If you experience any problem with a Theme or Service, please contact us at support@buildcleanslate.com first so we can resolve it — we're happy to help and most issues are fixed quickly.

We may suspend or terminate your license or access, without refund, if you breach these Terms — including by redistributing a Theme or misusing a license key. Initiating a chargeback or payment dispute for a delivered digital product or completed Service may result in immediate revocation of your license. Upon termination of a license, you must stop using and delete all copies of the affected Theme.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Changes take effect when posted, and your continued use of the Site or our products means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or your purchase will be resolved exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of those courts.
